# Defiance MANGOS prospectus, effective September 6, names OpenAI, Anthropic and SpaceX

An effective prospectus commits a Defiance fund to economic exposure to OpenAI, Anthropic and SpaceX, with Meta, NVIDIA and Alphabet. The Defiance MANGOS ETF MANG paper, dated September 6 and filed Friday, September 4, as a Rule 485(b) post-effective amendment by Tidal Trust II, names Cboe BZX Exchange as the listing venue. The fund seeks long-term capital appreciation. Management fees are **0.49%**; total annual fund operating expenses are **0.51%**. Two other Friday 485(b) filings from the same trust answered staff comments on a 2X long and 2X short CBRS pair and a 2X long XE series.

Under normal circumstances the fund will invest at least **80%** of net assets, plus borrowings for investment purposes, in investments that provide economic exposure to the MANGOS names: Meta Platforms, Anthropic PBC, NVIDIA, Alphabet, OpenAI Group PBC, and Space Exploration Technologies (SpaceX). The index it follows has those six as core constituents. The public-company sleeve is expected to start approximately equally weighted among the publicly traded names in that index. The allocation to Anthropic and OpenAI depends on the adviser’s determination that such investments are appropriate. As of the prospectus date, Anthropic is not publicly traded and does not file Exchange Act reports.

The prospectus says qualifying investments may include direct equity securities. The June 23 registration for this series said the fund may invest up to **15%** of net assets in privately issued securities, including privately placed securities issued by special purpose vehicles, and may use equity-related interests, options and swaps for direct or indirect exposure. Under that registration, when market quotations are not readily available, the adviser, as valuation designee, will fair-value those holdings.

The amendment’s explanatory note calls the fund a new series. The same filing’s exhibit index and counsel opinion identify it as a name change of an existing series, Defiance Developed Markets Enhanced Options Income ETF. Both names sit on one EDGAR series. It is the same registered series, renamed. No listing ticker appears for the predecessor, and the paper does not describe a conversion of a fund already trading.

The prospectus is effective as of September 6 and names the venue and ticker. Listing and the first trade still have to follow.
