# TACK holders vote Dec. 10 on the move to Amplify

Only shareholders of record at the close on Nov. 9 can vote, and net fees rose on two Research Affiliates ETFs.

By ETF.net Research. Published Nov 2, 2026.

Shareholders of Capitol Series Trust's Fairlead Tactical Sector ETF, TACK, are being asked to vote on **Dec. 10** on moving the fund into Amplify ETF Trust. Amplify filed the [combined proxy statement and prospectus](https://www.sec.gov/Archives/edgar/data/1633061/000121390026114815/ea0310397-01_497.htm) on Monday, Nov. 2. The meeting is at 2 p.m. Eastern time.

Only shareholders of record at the close of business on **Nov. 9** can vote. Shares bought after that date do not get a vote.

The proxy is to be mailed on or about Nov. 10 to those shareholders. If they approve, the reorganization is expected to close on or about Dec. 14.

Holders would receive shares of a new series, the Amplify Fairlead Tactical Sector ETF, equal in aggregate net asset value to the shares they give up. The ticker would stay TACK, listed on NYSE Arca. No sales charge or redemption fee would be charged on that swap of shares.

The swap is intended to qualify as tax-free. Cash paid in place of a fractional share can be taxable.

The fund invests in other ETFs. Amplify Investments would replace Cary Street Partners Asset Management as the adviser. Fairlead Asset Management would stay as sub-adviser, and Katie Stockton would stay as portfolio manager.

The management fee would fall from 0.59% to 0.57% of average daily net assets. The filing estimates total annual operating expenses at 0.67%, against 0.69% now, if the fees of those other funds stay at 0.10%.

Amplify and Fairlead have agreed to share the reorganization expenses. The fund and its shareholders would not pay them.

Approval needs a majority of the outstanding voting securities, as the Investment Company Act of 1940 defines it. An abstention counts as a vote against the proposal.

If shareholders do not approve, the reorganization will not happen. The Capitol Series Trust board will consider what to do next, including a reorganization with a different fund or a liquidation.

## Davis Research Fund votes Nov. 10

Shareholders of Davis Research Fund vote at 8 a.m. Eastern time on **Nov. 10**, in a virtual meeting only, on folding the mutual fund into Davis Fundamental ETF Trust's Davis Select U.S. Equity ETF, DUSA. The [proxy](https://www.sec.gov/Archives/edgar/data/1670310/000167031026000081/f485b.htm), for a reorganization the board approved in September, was filed Friday, Oct. 30.

Only shareholders of record at the close on Oct. 9 can vote. If they approve, the closing is scheduled for the close of business on Nov. 13.

A shareholder who already holds the fund in a brokerage account that can hold an ETF does not need to act to receive ETF shares. A shareholder without a brokerage account, or whose account can hold only mutual funds, will not receive ETF shares if they do nothing. That position would be liquidated for cash equal to net asset value on the closing date, minus any fees the intermediary charges, and that cash may be taxable.

The reorganization is expected to be tax-free for a shareholder who receives ETF shares. Cash in place of a fractional share may be taxable.

Davis Selected Advisers can help a shareholder open a brokerage account. The last day to redeem, or to exchange into another Davis mutual fund, is Nov. 10.

The fund has nine shareholders. Davis Selected Advisers and its affiliates owned 98.74% of the shares as of Oct. 9. The filing says the move is expected to lower total annual operating expenses, from 0.68% on Class A shares, ticker DRFAX, to 0.59% in DUSA.

## Two funds became effective without starting

Two registrations became effective Friday and Sunday for funds that have not commenced operations.

Tidal Trust V's Defiance Brazil Sovereign Debt ETF, BLTN, took effect Nov. 1. Tidal Investments is the adviser. The [prospectus](https://www.sec.gov/Archives/edgar/data/2081107/000199937126023956/bltn_485bpos-103026.htm) says the fund seeks total return from bonds issued or guaranteed by the government of Brazil and denominated in Brazilian real, and from swaps that provide exposure to those bonds. It expects to leave that currency exposure unhedged. The management fee is 0.59%. Total annual operating expenses are estimated at 0.61%, including 0.02% for broker interest. As of the statement of additional information, the fund had not commenced operations and no shares were outstanding. The prospectus names Cboe BZX as the listing exchange.

Spinnaker ETF Series filed a prospectus, effective on filing Friday, for the Tuttle Capital AI Bottleneck ETF, DLAY. Tuttle Capital Management is the adviser. The [prospectus](https://www.sec.gov/Archives/edgar/data/1484018/000199937126024032/tuttle-485bpos_103026.htm) says the fund seeks long-term capital appreciation from shares of U.S. and foreign companies tied to industrial bottlenecks in the buildout of artificial-intelligence infrastructure. The adviser counts a bottleneck when at least two of three tests are met: supply concentrated among few producers, extended lead times or order backlogs, and demand that cannot readily be substituted. The management fee and total annual operating expenses are 0.75%. As of the prospectus, the fund had not commenced operations. It also names Cboe BZX as the listing exchange.

## New caps on four AllianzIM buffers

AIM ETF Products Trust on Monday filed supplemented summaries for four AllianzIM buffer ETFs. Each opened a new outcome period on Nov. 1. The management fee on each remains 0.74%. The figures below are after that fee.

Table: Fund, Outcome period, Cap after the fee, Buffer after the fee

NVBU shareholders participate in the underlying ETF's share-price gains only to the extent those gains exceed 4.48% at the end of the outcome period. There is no cap above that.

## Summary prospectuses

EA Series Trust filed 19 summary prospectuses on Monday. The [Oct. 31 summary](https://www.sec.gov/Archives/edgar/data/1592900/000159290026004946/researchaffiliatesdeletion.htm) for the Research Affiliates Deletions ETF, NIXT, shows net expenses of 0.29% after a waiver, through Oct. 31, 2027. The [summary](https://www.sec.gov/Archives/edgar/data/1592900/000159290026004947/researchaffiliatescap-weig.htm) for the RACWI US ETF, RAUS, shows 0.03%. The management fees are unchanged, at 0.39% and 0.15%. Those net fees replaced waivers that ran through Oct. 31 and took NIXT to 0.19% and RAUS to zero. The waiver agreements do not let the adviser bill either fund later for the amount waived.

The same batch restates a listing change for EA Series Trust's Strive 500 ETF, STXF. The [summary](https://www.sec.gov/Archives/edgar/data/1592900/000159290026004948/strive500etf.htm) says the fund is listed on the New York Stock Exchange through Dec. 14 and on NYSE Arca beginning Dec. 15.

The other large batches were summary prospectuses. Victory Portfolios II filed 27 on Friday, WisdomTree 22, and AdvisorShares 15. 2023 ETF Series Trust filed four on Monday. PIMCO Equity Series filed a summary for the PIMCO RealPath Blend 2070 Fund, a target-date mutual fund.
