Salesforce agrees to buy Braze for $5.66 billion in enterprise value
Holders get $47.50 a share in cash, 58% above Monday's close, and Salesforce expects to close in the year starting Feb. 1, 2027.

Key takeaways
Salesforce said Tuesday it has agreed to buy Nasdaq-listed Braze, ticker BRZE, for $47.50 in cash per share of Class A common stock. As of Oct. 15, that was the only stock outstanding, the merger agreement dated Monday says.
Salesforce put the deal at about $5.66 billion in enterprise value, a figure the Wall Street Journal described Tuesday as including debt.
The offer is $17.46, or 58%, above Braze's Monday close of $30.04. It is also 27% above the stock's 52-week high of $37.33 through Monday.
Braze sells the software a brand uses to message a customer on a phone app, a website, email or text as that customer shops, Salesforce said. It named Instacart, Venmo and Canva among Braze's customers.
At 9:47 a.m. Eastern time, the midpoint of Braze's bid and ask was $45.37, up 51% from Monday's close and still $2.13 short of the cash price. Salesforce, listed on the New York Stock Exchange as CRM, fell as much as 2.8% from Monday's close and was down 0.5%, at $241.13, at the same time.
Salesforce expects to close, and pay that cash, in its fiscal 2028, the year that starts Feb. 1, 2027, and ends Jan. 31, 2028. The agreement still requires a vote of Braze shareholders and the end of the Hart-Scott-Rodino waiting period, the U.S. antitrust review, before it can close.
The agreement's outside date, the last day the parties have to close, is the first anniversary of Monday's signing. If that review is still unfinished, the date extends by 90 days, and by 90 days again.
Salesforce said it does not expect the deal to change its guidance for the fiscal year ending Jan. 31, 2027.
